STATEMENT OF WORK

Client: Acme Corp
Vendor: TruePaddock, Inc.
Effective Date: 2026-07-01
Term: 12 months

1. SCOPE OF WORK
Vendor will deploy a curated document search system over Acme Corp's product documentation and support knowledge base. Deployment is on-premise via Docker Compose, with Postgres + pgvector as the embedding store.

2. DELIVERABLES
- Initial ingestion of up to 5,000 PDF pages from the Acme product documentation library.
- Provisioning of one IMAP-fed support email folder for ongoing daily ingestion.
- Two named admin seats (one IT owner, one product owner) and ten member seats with folder-scoped read access.
- A weekly indexing job report delivered every Monday at 09:00 UTC.

3. PRICING
Flat fee of $48,000 USD payable in four equal quarterly installments. Includes one major version upgrade during the term. Excludes any model provider passthrough costs (Anthropic, OpenAI), which Acme Corp pays directly under its own API keys.

4. ACCEPTANCE CRITERIA
The system is accepted when (a) at least 95 percent of test queries from the Acme product team return a sourced answer with citations, and (b) a sample of ten randomly selected support tickets can be resolved with reference to indexed content within 30 seconds of query.

5. CONFIDENTIALITY
All indexed content remains in Acme Corp's Postgres instance. Vendor staff has no production database access. Vendor will not retain any Acme content outside of debugging traces, which expire after 14 days.

6. TERMINATION
Either party may terminate for material breach with 30 days' written notice. Acme Corp retains all indexed content and embeddings on termination.
